These Terms and Conditions (“Terms”) govern your use of the Rize.hk platform (“Platform”) operated by RIZE HK LIMITED “Company”, “we”, “our”), a company incorporated in Hong Kong under company number 77496169 and licensed as a money lender under license number 0397/2025 pursuant to the Money Lenders Ordinance (Cap. 163). By accessing or using the Platform, you (“Client”, “you”, “your”) agree to be bound by these Terms, our Privacy Policy, and the Client Agreement. If you do not agree, you must not access or use the Platform.

1. Platform Overview

The Platform provides Clients with access to credit lines collateralized by digital assets. Clients may deposit digital assets into the Platform and receive a credit limit based on the value of assets moved to their “Spending Wallet”. Credit may be accessed via credit card or bank payout, subject to applicable terms, fees, and compliance requirements.

2. Eligibility and Service Suspension

2.1 To use the Platform, you must: — Be at least 18 years old — Have legal capacity to enter into contracts — Pass all onboarding, KYC, and AML checks as required by applicable laws and Company policy 2.2 Rize HK Limited reserves the right, at its sole discretion and without the obligation to provide justification, to decline access, suspend, restrict, or terminate any Client account or access to the Platform and its services at any time. This includes, but is not limited to, situations where: — the Client's activity does not align with the Company's internal risk tolerance and service standards; — the Client poses reputational, regulatory, or legal risk to the Company; — continued service is no longer commercially viable or desirable. Rize HK Limited is under no obligation to onboard, continue servicing, or maintain a relationship with any Client, and retains full discretion in making such determinations.

3. Wallets and Credit Line Access

3.1 Funding Wallet: Used for depositing digital assets. This wallet does not trigger a credit limit. 3.2 Spending Wallet: Used to collateralize digital assets to access a line of credit. 3.3 LTV Ratios: Loan-to-Value ratios are: — 100% for fiat currencies — 90% for stablecoins — 60% for other digital assets supported by the Platform The Platform automatically assigns credit limits using internal valuation methods. These ratios and methods may change without prior notice.

4. Fees and Interest

4.1 Fee Types: Clients agree to all fees outlined in the Fee Profile, which include: — Injection Fee: Charged when digital assets are deposited to the Platform — Platform Fees: Related to usage of Platform infrastructure — Card Fees: Associated with credit card issuance and use — Bank Fees: Related to bank payouts and transfers 4.2 Interest Policy: Credit lines repaid within 24 hours incur no interest. Beyond 24 hours, interest is charged up to the maximum rate allowed under the Hong Kong Money Lenders Ordinance. 4.3 Updates: Fees and interest terms may be updated periodically. Clients are responsible for checking updates.

5. Client Responsibilities and Risk Disclosure

You acknowledge that digital asset prices are volatile and may affect your credit eligibility and obligations. — You agree to provide accurate, complete, and updated information at all times. — You agree not to use the Platform for unlawful purposes, including but not limited to money laundering, terrorism financing, or fraud. — You agree to indemnify and hold harmless the Company from any losses, claims, or liabilities arising from your use of the Platform. — The Company makes no representations about the future performance of any digital assets or credit facility.

6. AML and KYC Compliance

You agree to comply with all identity verification and due diligence requirements mandated by Hong Kong law, including those under the Money Lenders Ordinance and AML/CFT guidelines. Your use of the Platform may be suspended or terminated at any time based on the Company's compliance assessment.

7. Data Retention and Record keeping

We retain records of client identification, digital asset movements, credit lines, and transactions for a minimum period as required by law. All personal data is handled in accordance with our Privacy Policy and applicable regulations.

8. Modifications and Updates

We may amend these Terms at any time without prior notice. Continued use of the Platform constitutes acceptance of the updated Terms. Clients are advised to review Terms periodically.

9. Limitation of Liability

To the fullest extent permitted by law, RIZE HK LIMITED disclaims all liability for indirect, incidental, special, or consequential damages. The Platform is provided "as is" without warranties of any kind. Your sole remedy for dissatisfaction is to discontinue use of the Platform.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute shall be subject to the exclusive jurisdiction of the Hong Kong courts.
